Terms & Conditions

1. Acceptance of terms

By accessing asitechco.com or engaging ASI TECH INC ("ASI TECH INC.", "we", "us") for any service, you agree to these Terms & Conditions. If you do not agree, please stop using the site and our services.

These terms apply to visitors, newsletter subscribers, job applicants, prospective clients and contracted clients alike. A signed statement of work or master services agreement, where one exists, takes precedence over any conflicting clause here.

2. Services

We provide custom software engineering, applied AI, cloud, mobile, on-site technical support (GeekOnsites) and related product development services. Scope, deliverables, timelines and acceptance criteria for any engagement are defined in a written proposal or statement of work.

Estimates published on this website are indicative only and do not constitute a binding quote or an offer to contract.

3. Client responsibilities

You agree to provide accurate information, timely feedback, and the access, credentials and third-party approvals we need to deliver. Delays caused by missing inputs may shift timelines and costs.

You confirm you own or are licensed to use any content, data, trademarks or code you supply to us.

4. Intellectual property

Upon full payment, you own the custom deliverables created specifically for you under a statement of work. We retain ownership of our pre-existing tools, frameworks, libraries and know-how, and grant you a perpetual, non-exclusive licence to use them as embedded in the deliverables.

All website content, branding, logos and marks of ASI TECH INC. and Alexander's Group Inc remain our property.

5. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform the engagement. This obligation survives termination for three years, and indefinitely for trade secrets.

6. Warranty & disclaimer

We warrant that services are performed in a professional and workmanlike manner. Unless otherwise agreed in writing, deliverables are provided on an "as is" basis without any other warranty, express or implied, including merchantability or fitness for a particular purpose.

The website and any content, benchmarks or articles published here are provided for information only and are not professional advice.

7. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising from an engagement is limited to the fees paid by you for that engagement in the three months preceding the claim. We are not liable for indirect, incidental, special, punitive or consequential damages, including lost profits or data.

8. Termination

Either party may terminate an engagement with 30 days written notice, or immediately for material breach that is not cured within 15 days of notice. On termination you pay for all work performed and non-cancellable commitments up to the termination date.

9. Governing law

These terms are governed by the laws of the State of California, USA. The exclusive venue for disputes is the state and federal courts located in Los Angeles County, California.

10. Changes to these terms

We may update these terms from time to time. Continued use of the site or our services after an update constitutes acceptance of the revised terms.

Privacy Policy

1. Information we collect

Contact details you submit through our contact, newsletter or careers forms — such as name, email address, phone number, company and message or CV content.

Account details when you sign in, including your email address and the sign-in provider you used (email, Google, Apple or Microsoft).

Basic technical data such as browser type, device type, approximate region and pages viewed, used to keep the site secure and to improve it.

2. How we use your information

To respond to your enquiry, deliver contracted services, evaluate job applications, send newsletters you asked for, secure our systems, and meet legal or accounting obligations.

We do not sell your personal data. We do not use your data to train third-party AI models.

4. Sharing & processors

We share data only with vetted service providers who help us operate: cloud hosting and database providers, email delivery services, payment processors, and analytics. Each is bound by contract to protect your data and to process it only on our instructions.

We may disclose information where required by law or to protect our legal rights.

5. Retention

Enquiries and applications are retained for up to 24 months unless you ask us to delete them sooner. Client project records and invoices are retained as required by law, typically seven years.

6. Your rights

You may request access to, correction of, export of, or deletion of your personal data, and you may withdraw consent or unsubscribe at any time. Email info@asi-techinc.com and we will respond within 30 days.

Residents of California (CCPA/CPRA) and the EEA/UK (GDPR) have additional rights, including the right not to face discrimination for exercising them.

7. Cookies

We use strictly necessary cookies to keep you signed in and to secure forms, plus limited analytics cookies to understand aggregate site usage. You can block cookies in your browser; sign-in and some features will then stop working.

8. Security

Data is encrypted in transit (TLS) and at rest. Access to production data is restricted to authorised personnel, protected by row-level security rules and audited. No system is perfectly secure, but we work continuously to reduce risk.

Payments & Billing

1. Quotes & currency

All fees are quoted in US dollars (USD) and are exclusive of taxes, duties and third-party licence or infrastructure costs unless the proposal states otherwise. Applicable sales tax or VAT is added at invoicing.

2. Billing models

Fixed-scope projects: typically 40% on signature, 30% at an agreed midpoint milestone, 30% on delivery.

Retainers and dedicated teams: billed monthly in advance.

Time and materials: billed every two weeks or monthly in arrears against a timesheet.

3. Accepted payment methods

Bank transfer (ACH and international wire), major credit and debit cards, and approved online payment processors. Card payments are handled by a PCI-DSS compliant processor; we never see or store your full card number.

Processor or bank fees on international transfers are borne by the payer.

4. Payment terms & late payment

Invoices are due net 15 days from the invoice date unless agreed otherwise. Overdue amounts accrue interest at 1.5% per month, or the maximum permitted by law if lower.

We may suspend work and access to deliverables on accounts more than 30 days overdue, after written notice.

5. Refunds & cancellations

Deposits secure delivery capacity and are non-refundable once work has started. If you cancel mid-project, you are billed for all work completed and committed to date; any unearned balance is refunded within 30 days.

Where a deliverable materially fails agreed acceptance criteria and we cannot remedy it within a reasonable cure period, you may request a pro-rata refund for that deliverable.

6. Chargebacks & disputes

Please raise any billing dispute with info@asi-techinc.com within 10 days of the invoice date so we can resolve it directly. Chargebacks filed without prior contact may result in suspension of services and recovery of associated fees.

7. Third-party & subscription costs

Cloud hosting, API usage, app store fees, domain, licence and other third-party costs are passed through at cost or billed to your own accounts, as agreed. Recurring support or maintenance plans renew automatically until cancelled with 30 days notice.
